  • A binding contract is formed once you accept our quotation in writing (email or signed confirmation).
  • Minimum order quantities (MOQs) apply and may vary by format.
  • You are responsible for providing accurate product specifications, artwork, and compliance information.

6. Raw Materials and Supply

  • Unless otherwise agreed, you are responsible for supplying raw materials (bulk product, packaging, labels).
  • We will store materials with reasonable care but accept no liability for defects inherent in supplied goods.
  • Title and risk remain with you unless agreed otherwise.

7. Our Services

  • We provide co-packing services (packing, labelling, cartonisation, palletisation, storage, dispatch).
  • We perform services in accordance with SALSA food safety standards.
  • Lead times depend on capacity and will be confirmed at order stage.

8. Compliance and Liability

  • You are responsible for ensuring your recipes and claims comply with UK law (including HFSS, EPR, Natasha’s Law, and PPT).
  • We will apply labels and batch/expiry coding to your specification but are not liable for inaccuracies in the information provided.
  • Our liability for any loss is limited to the value of the relevant order. We are not liable for indirect, special, or consequential loss (including lost profits or sales).

9. Payment Terms

  • Unless otherwise agreed in writing, all invoices are payable pro forma (payment required before goods are released or services are carried out).
  • Where credit terms are agreed, invoices must be paid within 30 days of the date of invoice.
  • Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • We reserve the right to withhold goods, suspend services, or cancel future orders if payment terms are not met.

10. Delivery and Risk

  • We can deliver to Amazon fulfilment centres, 3PLs, or UK retailers.
  • Risk passes on delivery or collection, as agreed.
  • Delays due to circumstances beyond our control (e.g., courier delays, supply issues) are not our responsibility.

11. Intellectual Property

  • All intellectual property rights in our website, content, and materials remain with Ace Packing Ltd.
  • Your brand artwork, designs, and trademarks remain your property.

12. Termination

  • Either party may terminate the contract with written notice if the other party commits a material breach.
  • We may suspend or cancel services if payment terms are breached.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.
Disputes shall be subject to the exclusive jurisdiction of the English courts.
